Standard Purchase Terms & Conditions

PROOF OF BUSINESS ENTITY: In order to be a reseller of Pleaser USA, Inc. products, you must provide a valid Federal Tax ID number (for all U.S. based businesses). California businesses must also submit a copy of a valid Sellers Permit. International businesses must provide the appropriate business license documentation.

INITIAL ORDER & REORDERS: We require a minimum of $500.00 for the initial (first time) order. Re-order minimum is $100.00; if re-order minimum is not met, orders will be subject to a $7.00 service charge. For drop ship orders, there is no minimum required after the initial order. To meet the minimum order requirement, merchandise can be ordered collectively from all of our brands / collections: PLEASER®, DEMONIA®, FUNTASMA®, PIN UP COUTURE®, FABULICIOUS®, PLEASER® Pink Label, BORDELLO® and DEVIOUS®.

MINIMUM ANNUAL PURCHASE REQUIREMENTS: To keep your account in active standing as a reseller of Pleaser USA products, a minimum annual purchase total of $3,000.00 must be met; otherwise, your account will be subject to closure. To re-open a closed account, you are required to re-submit proof of business entity. In addition, the initial order requirement for the re-opened account will be increased to $1,000.00.

PAYMENTS: The following payment methods are accepted: C.O.D. cashier's check or money order, and all major credit cards (Visa, MasterCard, American Express, Discover) and electronic funds transfer (including PayPal and ACH). To apply for C.O.D. payment by company check or for credit terms, please contact our Accounting Department. Please allow 5-10 business days to process your application.

SHIPPING: All merchandise will be shipped via UPS or FedEx unless otherwise specified. All goods will be shipped F.O.B. Brea, California. Generally, your orders will be shipped in 1-2 business days upon receipt by us.

DROP-SHIPPING: We charge a $7.00 handling fee for each drop shipment. All drop-ship orders placed by an out-of-state retailer to be shipped to a consumer in California will be charged retail sales tax according to the California sales and use tax law. Please note: We do not drop-ship to international addresses. Shipping to a P.O. box or a military address is available only through UPS or FedEx. Returns and exchanges from a 3rd party individual will not be accepted. Drop-shipping service is available to customers upon request only, and Pleaser USA, Inc. reserves the right to approve or deny such requests.

CANCELLATIONS: If you wish to change or cancel your orders, it is imperative that you contact us without delay and we will attempt to comply with your request. Orders that have been processed and/or shipped cannot be cancelled.

RETURNS: No returns will be accepted without prior authorization. Returns shall only be accepted for manufacturing defects or non-conformity with order. Please note: we do not give cash refunds; we will only exchange returned merchandise or issue a Credit Memo for the dollar amount within thirty (30) business days. For return authorization or our full return policies and procedures, please contact our Customer Service Department.

CLAIMS: No claims on used or worn goods. All claims for discrepancies and shipping errors must be made in writing within ten (10) days of receipt of goods. Any claims due to carton damage or breakage must be reported to us within 24 hours of receipt of goods in order for us to file a claim with the carrier.

REFUSED SHIPMENTS:Receipt by Pleaser USA, Inc. of a refused package, without prior notice, is considered a request to cancel all outstanding orders. All refused shipments will result in a 20% re-stocking charge plus any additional freight costs incurred. Pleaser USA, Inc. reserves the right to not sell to or request pre-payment from customers who have refused shipments.

BOUNCED CHECKS: A $25 fee will apply on each check returned for insufficient funds.

BACKORDERS: Any item on a customer's order that is not shipped will be automatically placed on backorder unless advised otherwise. Backorders not shipped within ninety (90) days are automatically cancelled.

CLEARANCE, SALE, AND DISCONTINUED ITEMS: All sales of clearance, sale, and discontinued items are final.

INTELLECTUAL PROPERTIES: Unless otherwise stated, all images, works of authorship (copy) and artwork (collectively known as "Creative Elements") found on our catalogs, website, and advertising/promotional materials are the exclusive intellectual properties of Pleaser USA, Inc. The use of these Creative Elements is governed by our Image Release/License Agreement as well as Guidelines for Using Pleaser USA Trademarks and Copyrights. If high-resolution product or lifestyle images are requested, Pleaser USA, Inc. reserves the right to grant or deny access to those images at our own discretion. Images on disc or through our FTP may be provided to our existing customers for the exclusive purpose of selling Pleaser USA, Inc. products.

PRICES: Prices are NET, and are subject to change without notice. All merchandise (original and backorders) will be billed at the prevailing prices at the time of shipment.

RETAIL PRICING POLICY: Pleaser USA's has unilaterally adopted a Minimum Advertised Price (MAP) Policy that extends to the brands PLEASER©, DEMONIA©, PLEASER® Pink Label, PIN UP COUTURE©, and DEVIOUS©. Pleaser USA's MAP Policy applies to all retailers, including catalog and internet retailers, who resell Pleaser USA products to end users located in the United States. For more information about our MAP policy, please see here. We strongly suggest that for all products not covered by our MAP policy, customers follow our Manufacturer's Suggested Retail Price (MSRP). Please note that there are two versions of MSRP: domestic MSRP (applicable within the United States) and international MSRP (applicable outside of the United States).

RESALE RESTRICTIONS:

A) By default, Pleaser USA's customer is allowed to sell our products to end-users within the country where its business is registered and located.

B) Selling, including advertising for sale, Pleaser USA products outside of the country where the business is registered and located, including through its subsidiaries or affiliates outside of the country, requires the prior written approval from Pleaser USA, Inc. Businesses registered within a member country of the European Union (EU) or European Free Trade Association (EFTA) are automatically approved to sell our products to end-users within member countries of both the EU and EFTA.

C) Customers are limited to doing retail sales only and are not permitted to engage in wholesale sales without the prior written approval from Pleaser USA, Inc.

AGREEMENT: In doing business and placing an order with Pleaser USA, Inc., you explicitly accept and agree to be bound by Pleaser USA, Inc.'s Standard Purchase Terms and Conditions.
